Kynali operates strictly as an independent technical automation and digital fulfillment software platform supplying cloud workflow automation, stock vault encryption, and event-driven webhook dispatch utilities. Kynali is NOT a retailer, distributor, merchant of record, or marketplace, and does not own, license, or manufacture any products sold by independent merchants.
1. Technical Service Definition
Kynali provides non-custodial e-commerce infrastructure tools designed to automate the handoff between third-party payment gateways and merchant inventory. Our software enables independent digital creators, developers, and vendors to:
- Automate real-time inventory counts and prevent double-selling across external sales channels.
- Securely dispatch automated digital deliverables (e.g., Notion templates, spreadsheets, digital creative assets, access tokens) via encrypted customer emails immediately upon payment confirmation.
- Connect their own independent payment accounts (Stripe, PayPal, Whop) directly without intermediary holding accounts.
2. Zero Custody of Buyer Funds & Direct Settlement
When an end-consumer initiates a transaction on an independent merchant's store or checkout link:
- Direct Processor Flow: All monetary payments are processed directly and exclusively between the buyer and the merchant's own independent payment gateway account (PayPal, Stripe, or Whop).
- No Holding or Pooling of Funds: Kynali never receives, holds, touches, escrow-holds, or routes buyer purchase funds. We maintain zero custodial accounts for end-consumer payments.
- Independent Fee Billing: Merchants purchase prepaid dispatch credits directly from Kynali for the technical operation of automated webhooks, completely decoupled from consumer transactions.
3. Technical Audit Trails, Mere Conduit Status & Proof of Delivery (POD)
To safeguard the integrity of digital commerce and mitigate friendly fraud, Kynali operates strictly as an automated, stateless technical conduit under 17 U.S.C. § 512(a) (US DMCA Transitory Digital Network Communications) and Article 4 of the European Digital Services Act (Mere Conduit Exemption). Technical transaction logs capture relay timestamps, recipient hash, client IP verification, and independent relay handshakes strictly on behalf of merchants. This technical telemetry is engineered to:
- Satisfy Global Card Scheme Rules: Conform to Visa Compelling Evidence (CE 3.0) and Mastercard dispute standards for card-not-present intangible electronic transactions.
- Fulfill Gateway Seller Protection: Satisfy official PayPal Intangible Goods Seller Protection proof of delivery (POD) criteria requiring electronic records of transmission and recipient delivery handshakes.
- Stateless Electronic Dispatch via Independent Relays: Digital dispatches are routed through independent, disposable mail relays (e.g., Sendinow or merchant-configured SMTP). Kynali records strictly the technical transmission event (timestamp X, relay status 200, recipient destination) with zero platform knowledge, evaluation, or archiving of deliverable secrets or payload content.
- Defend Processor Accounts: Provide underwriting teams and issuing banks with transparent, verifiable proof of customer dispatch and access activity without exposing or retaining proprietary vendor data.
All fulfillment logs are maintained exclusively for the merchant's operational defense and dispute resolution, and are never utilized for commercial advertising, marketing profiling, or third-party resale.
4. Merchant of Record & Sole Product Liability
Independent merchants utilizing the Kynali platform are the exclusive Merchants of Record and maintain sole, direct, and unconditional legal responsibility for:
- The absolute authenticity, legitimate licensing, ownership, and intellectual property rights of all digital deliverables, API access tokens, subscriptions, and creator assets distributed.
- Ensuring products do not infringe on third-party licenses, trademarks, or copyrights, maintaining complete merchant indemnification regarding digital deliverables and marketplace listings.
- Product descriptions, accuracy of marketing materials, and compliance with consumer protection laws.
- Post-purchase customer support, warranties, satisfaction guarantees, and dispute resolutions.
- Adherence to all terms and conditions of their connected payment processors (Stripe, PayPal, Whop).
Kynali is strictly a software automation provider. Under no circumstances is Kynali deemed a vendor, co-seller, distributor, or custodian of merchant goods.
5. Acceptable Content & Prohibited Operations
To protect platform health and processor networks, Kynali enforces strict compliance monitoring. Accounts found facilitating unauthorized media broadcasts, unlicensed key distribution, malware, stolen credentials, or fraudulent services are subject to immediate termination.
